North Dakota Code > Title 10 > Chapter 10-32 > § 10-32-110 - Voluntary dissolution and termination prior to accepting contributions
Current as of: 2009 A limited liability company that has not accepted contributions may be dissolved and terminated in the manner set forth in this section. 1. A majority of the organizers or governors shall sign articles of dissolution and termination containing: a. The name of the limited liability company; b. The date of organization; c. A statement that contributions have not been accepted; and d. A statement that no debts remain unpaid. 2. The articles of dissolution and termination must be filed with the secretary of state together with the fees provided in section 10-32-150. 3. When the articles of dissolution and termination have been filed with the secretary of state, the limited liability company is terminated. 4. The secretary of state shall issue to the terminated limited liability company or its legal representative a certificate of termination that contains: a. The name of the limited liability company; b. The date the articles of dissolution and termination were filed with the secretary of state; and c. A statement that the limited liability company is terminated. ________________________________________________________________________
