North Dakota Code 10-32-95 - Delegation by managers

Current as of: 2009 Unless prohibited by the articles, a member-control agreement, the bylaws, or by a resolution adopted by the board, a manager elected or appointed by the board may, without the approval of the board, delegate some or all of the duties and powers of an office to other individuals. A manager who delegates the duties or powers of an office remains subject to the standard of conduct for a manager with respect to the discharge of all duties and powers so delegated. ________________________________________________________________________
