  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
  • person: may extend and be applied to bodies politic and corporate, and to partnerships and other unincorporated associations. See Missouri Laws 1.020

Within ten days after any director, officer, or other person has been suspended from office, prohibited from participation in the conduct of the affairs of a corporation, or both, under subsection 3 of section 361.262, such director, officer, or other person may apply to the circuit court of the county in which the corporation is located or the circuit court of Cole County, for a stay of such suspension or prohibition pending the completion of the administrative proceedings pursuant to the notice served upon such director, officer, or other person under subsection 1 or 2 of section 361.262, and such court shall have jurisdiction to stay such suspension or prohibition.
