- Person: includes corporation, organization, government or governmental subdivision or agency, business trust, estate, trust, partnership, association, and any other legal entity. See Texas Government Code 311.005
The district may indemnify a director or district employee or a former director or district employee for reasonable expenses and costs, including attorney’s fees, incurred by the person in connection with a claim or charge asserted against the person if:
(1) the claim or charge relates to an act or omission of the person when acting in the scope of the person’s board membership or district employment; and
(2) the person has not been found liable on the claim or guilty on the charge.
