A foreign corporation authorized to transact business in the state may change its registered office or change its registered agent, or both, upon filing with the department a statement setting out

(1) the name of the corporation;

Terms Used In Alaska Statutes 10.20.515

  • board of directors: means the group of persons vested with the management of the affairs of the corporation irrespective of the name by which the group is designated. See Alaska Statutes 10.20.920
  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • department: means the Department of Commerce, Community, and Economic Development. See Alaska Statutes 10.20.920
  • state: means the State of Alaska unless applied to the different parts of the United States and in the latter case it includes the District of Columbia and the territories. See Alaska Statutes 01.10.060
(2) the address of its registered office;
(3) if the address of its registered office is to be changed, the address of the proposed office;
(4) the name of its registered agent;
(5) if its registered agent is to be changed, the name of its successor registered agent;
(6) that the address of its registered office and the address of the business office or its registered agent, as changed, will be identical;
(7) that the change is authorized by resolution adopted by the board of directors.
