(a) The name of a limited partnership as set out in its certificate of limited partnership

Terms Used In Alaska Statutes 32.11.810

  • certificate of limited partnership: means the certificate referred to in Alaska Stat. See Alaska Statutes 32.11.900
  • department: means the Department of Commerce, Community, and Economic Development. See Alaska Statutes 32.11.900
  • general partner: means a person who has been admitted to a limited partnership as a general partner in accordance with the partnership agreement and named in the certificate of limited partnership as a general partner. See Alaska Statutes 32.11.900
  • limited partner: means a person who has been admitted to a limited partnership as a limited partner in accordance with the partnership agreement. See Alaska Statutes 32.11.900
  • partner: means a limited or general partner. See Alaska Statutes 32.11.900
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
(1) must contain without abbreviation the words “limited partnership”;
(2) may not contain the name of a limited partner unless

(A) it is also the name of a general partner or the corporate name of a corporate general partner; or
(B) the business of the limited partnership had been carried on under that name before the admission of that limited partner; and
(3) must be distinguishable on the records of the department from the name of any other organized entity and from a reserved or registered name; in this paragraph, “organized entity” and “reserved or registered name” have the meanings given in Alaska Stat. § 10.35.040.
(b) The department may adopt regulations under Alaska Stat. Chapter 44.62 (Administrative Procedure Act) to implement (a)(3) of this section.
