  • Defendant: In a civil suit, the person complained against; in a criminal case, the person accused of the crime.
  • Obligation: An order placed, contract awarded, service received, or similar transaction during a given period that will require payments during the same or a future period.

A person who does business under a trade name is the proper defendant in an action to enforce an obligation created by or arising out of the doing of such business.
