(a) The registered agent of a foreign limited partnership authorized to transact business in this state is the limited partnership’s agent for service of process, notice or demand required or permitted by law to be served on the foreign limited partnership.

Terms Used In Tennessee Code 61-2-910

  • Foreign limited partnership: includes a partnership formed under the laws of any jurisdiction other than the state of Tennessee and having as partners one (1) or more general partners and one (1) or more limited partners. See Tennessee Code 61-2-101
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Service of process: The service of writs or summonses to the appropriate party.
  • State: when applied to the different parts of the United States, includes the District of Columbia and the several territories of the United States. See Tennessee Code 1-3-105
(b) Service on a limited partnership when the secretary of state is its agent for service of process may be obtained pursuant to § 61-2-106.
(c) This section does not prescribe the only means, or necessarily the required means, for serving a foreign limited partnership.
