(a) Section 5231 governs the duties of directors as to any acts or omissions in connection with the election, selection, or nomination of directors.
(b) This section shall not be construed to limit the generality of Section 5231.
Terms Used In California Corporations Code 5232
- directors: means natural persons, designated in the articles or bylaws or elected by the incorporators, and their successors and natural persons designated, elected, or appointed by any other name or title to act as members of the governing body of the corporation.
