(1) A registered foreign entity that has dissolved and completed winding up or has converted to a domestic or foreign person not subject to this chapter shall deliver a statement of withdrawal to the secretary of state for filing. The statement must be executed by the dissolved or converted entity and state:

  • Jurisdiction: when used to refer to a political entity, means the United States, a state, a foreign country, or a political subdivision of a foreign country. See Washington Code 23.95.105
  • Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
  • Jurisdiction of formation: means the jurisdiction whose law includes the organic law of an entity. See Washington Code 23.95.105
  • Person: means an individual, business corporation, nonprofit corporation, partnership, limited partnership, limited liability company, general cooperative association, limited cooperative association, unincorporated nonprofit association, statutory trust, business trust, common-law business trust, estate, trust, association, joint venture, public corporation, government or governmental subdivision, agency, or instrumentality, or any other legal or commercial entity. See Washington Code 23.95.105
  • Proceeding: means civil suit and criminal, administrative, and investigatory action. See Washington Code 23.95.105
  • Registered agent: means an agent of an entity which is authorized to receive service of any process, notice, or demand required or permitted by law to be served on the entity. See Washington Code 23.95.105
  • Service of process: The service of writs or summonses to the appropriate party.
  • State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Washington Code 23.95.105
  • (a) In the case of a foreign entity that has completed winding up:
    (i) Its name and jurisdiction of formation; and
    (ii) That the foreign entity surrenders its registration to do business in this state; and
    (b) In the case of a foreign entity that has converted to a domestic or foreign person not subject to chapter 176, Laws of 2015:
    (i) The name of the converting foreign entity and its jurisdiction of formation;
    (ii) The type of person to which it has converted and its jurisdiction of formation;
    (iii) That it surrenders its registration to do business in this state and revokes the authority of its registered agent to accept service on its behalf; and
    (iv) A mailing address to which service of process may be made under subsection (2) of this section.
    (2) After a withdrawal is effective under this section, service of process in any action or proceeding based on a cause of action arising during the time the foreign entity was registered to do business in this state may be made pursuant to RCW 23.95.450.
