  • Administrator: means the administrator of the division of securities in the department of financial institutions. See Wisconsin Statutes 551.102
  • Adult family home: has the meaning given in…. See Wisconsin Statutes 563.03
  • Agent: means an individual, other than a broker-dealer, who represents a broker-dealer in effecting or attempting to effect purchases or sales of securities or represents an issuer in effecting or attempting to effect purchases or sales of the issuer's securities. See Wisconsin Statutes 551.102
  • Appraisal: A determination of property value.
  • Attachment: A procedure by which a person's property is seized to pay judgments levied by the court.
  • Bank: means any of the following:
      (a)    A banking institution organized under the laws of the United States. See Wisconsin Statutes 551.102
  • Bingo: as used in this chapter shall not mean any game using free cards and donated prizes, if any, for which no payment of consideration is made by participants. See Wisconsin Statutes 563.03
  • Bingo occasion: means a single gathering or session at which a series of successive bingo games is played. See Wisconsin Statutes 563.03
  • Bingo supplies and equipment: means all cards, boards, sheets, markers, pads or other supplies, devices or equipment designed for use in the play of bingo. See Wisconsin Statutes 563.03
  • Broker-dealer: means a person engaged in the business of effecting transactions in securities for the account of others or for the person's own account. See Wisconsin Statutes 551.102
  • Calendar: means a table or register of days covering not less than one nor more than 12 calendar months that entitles the purchaser to one entry in each drawing in a calendar raffle. See Wisconsin Statutes 563.03
  • Calendar raffle: means a raffle for which a drawing is held and a prize awarded on each date specified in a calendar. See Wisconsin Statutes 563.03
  • Certified investor: means an individual who is a resident of this state and who, at the time of an offer or sale of securities, satisfies any of the following:
  •       (a)    Has an individual net worth, or joint net worth with the individual's spouse, of at least $750,000. See Wisconsin Statutes 551.102
  • Civil forfeiture: The loss of ownership of property used to conduct illegal activity.
  • Clerk of court: An officer appointed by the court to work with the chief judge in overseeing the court's administration, especially to assist in managing the flow of cases through the court and to maintain court records.
  • common enterprise: is a n enterprise in which the fortunes of the investor are tied to the efficacy of the efforts of those seeking the investment or a third party. See Wisconsin Statutes 551.102
  • Community-based residential facility: has the meaning given in…. See Wisconsin Statutes 563.03
  • Deceptive advertising: means creating, using, or promoting the use of any advertising material, promotional literature, testimonial, guarantee, warranty, label, brand, insignia, or other representation, however disseminated or published, which is misleading, false, or untruthful. See Wisconsin Statutes 459.01
  • Department: means the department of administration. See Wisconsin Statutes 563.03
  • Deposition: An oral statement made before an officer authorized by law to administer oaths. Such statements are often taken to examine potential witnesses, to obtain discovery, or to be used later in trial.
  • Depository institution: means any of the following:
  •       (a)    A bank. See Wisconsin Statutes 551.102
  • division: means the division of securities in the department of financial institutions. See Wisconsin Statutes 551.102
  • Division of gaming: means the division of gaming in the department. See Wisconsin Statutes 563.03
  • Drawing: means any of the following methods for determining a winner of a game of chance:
  •       (a)    Random selection of a ticket portion or calendar portion from a container housing portions of all tickets or calendars purchased for the selection. See Wisconsin Statutes 563.03
  • Examining board: means the hearing and speech examining board. See Wisconsin Statutes 459.01
  • Executor: A male person named in a will to carry out the decedent
  • Extra regular card: means a nondisposable card which affords additional opportunities to play in a regular bingo game to be played at a bingo occasion. See Wisconsin Statutes 563.03
  • Fair market value: The price at which an asset would change hands in a transaction between a willing, informed buyer and a willing, informed seller.
  • Federal covered investment adviser: means a person registered under the Investment Advisers Act of 1940. See Wisconsin Statutes 551.102
  • Federal covered security: means a security that is, or upon completion of a transaction will be, a covered security under section 18 (b) of the Securities Act of 1933 (15 U. See Wisconsin Statutes 551.102
  • Federal Reserve System: The central bank of the United States. The Fed, as it is commonly called, regulates the U.S. monetary and financial system.   • Filing: means the receipt under this chapter of a record by the administrator or a designee of the administrator. See Wisconsin Statutes 551.102
  • Financial institution holding company: means a bank holding company, as defined in 12 U. See Wisconsin Statutes 551.102
  • Funding portal: has the meaning given in section 3 (a) (80) of the Securities Exchange Act of 1934 (15 U. See Wisconsin Statutes 551.102

  • Gross receipts: means total receipts received from the conduct of bingo including, but not limited to, receipts from the sale, rental or use of regular bingo cards, extra regular cards, special bingo cards and bingo supplies. See Wisconsin Statutes 563.03
  • Guaranteed: means guaranteed as to payment of all principal and all interest. See Wisconsin Statutes 551.102
  • Guarantor: A party who agrees to be responsible for the payment of another party's debts should that party default. Source: OCC
  • Hearing aid: means any wearable instrument or device designed for or offered for the purpose of aiding or compensating for impaired human hearing and any parts, attachments or accessories of such an instrument or device, except batteries and cords. See Wisconsin Statutes 459.01
  • Hearing instrument specialist: means any person who is or is required to be licensed under…. See Wisconsin Statutes 459.01
  • Institutional investor: means any of the following, whether acting for itself or for others in a fiduciary capacity:
  •       (a)    A depository institution or international banking institution. See Wisconsin Statutes 551.102
  • Insurance company: means a company organized as an insurance company whose primary business is writing insurance or reinsuring risks underwritten by insurance companies and which is subject to supervision by the insurance commissioner or a similar official or agency of a state. See Wisconsin Statutes 551.102
  • Insured: means insured as to payment of all principal and all interest. See Wisconsin Statutes 551.102
  • International banking institution: means an international financial institution of which the United States is a member and whose securities are exempt from registration under the Securities Act of 1933. See Wisconsin Statutes 551.102
  • Investment adviser: means a person that, for compensation, engages in the business of advising others, either directly or through publications, writings, or electronic means, as to the value of securities or the advisability of investing in, purchasing, or selling securities or that, for compensation and as a part of a regular business, issues or promulgates analyses or reports concerning securities. See Wisconsin Statutes 551.102
  • Investment adviser representative: means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing.   • Issuer: means a person that issues or proposes to issue a security, subject to the following:
  •       (a)    The issuer of a voting trust certificate, collateral trust certificate, certificate of deposit for a security, or share in an investment company without a board of directors or individuals performing similar functions is the person performing the acts and assuming the duties of depositor or manager pursuant to the trust or other agreement or instrument under which the security is issued.   • Licensed organization: means an organization licensed under this chapter to conduct bingo. See Wisconsin Statutes 563.03
  • Life settlement investment: means the entire interest or any fractional or pool interest in a life insurance policy or certificate of insurance or in the death benefit thereunder that is the subject of a life settlement, as defined in…. See Wisconsin Statutes 551.102
  • Limited period bingo: means the conduct of bingo for a period of not more than 4 out of 5 consecutive days in any one year at a festival, bazaar, picnic, carnival or similar special function conducted by a licensed organization. See Wisconsin Statutes 563.03
  • nonissuer distribution: means a transaction or distribution not directly or indirectly for the benefit of the issuer. See Wisconsin Statutes 551.102
  • Offer to purchase: includes an attempt or offer to obtain, or solicitation of an offer to sell, a security or interest in a security for value. See Wisconsin Statutes 551.102
  • Person: means an individual; corporation; business trust; estate; trust; partnership; limited liability company; association; joint venture; government; governmental subdivision, agency, or instrumentality; public corporation; or any other legal or commercial entity. See Wisconsin Statutes 551.102
  • Plea: In a criminal case, the defendant's statement pleading "guilty" or "not guilty" in answer to the charges, a declaration made in open court.
  • Practice of fitting and dealing in hearing aids: means the measurement of human hearing by means of an audiometer or by any other means accepted by the examining board solely for the purpose of making selections, adaptations or sales of hearing aids intended to compensate for impaired hearing.   • Premises: means any room, hall, enclosure, tent, or outdoor area in which bingo is being played. See Wisconsin Statutes 563.03
  • Price amendment: means the amendment to a registration statement filed under the Securities Act of 1933 or, if an amendment is not filed, the prospectus or prospectus supplement filed under the Securities Act of 1933 that includes a statement of the offering price, underwriting and selling discounts or commissions, amount of proceeds, conversion rates, call prices, and other matters dependent upon the offering price.   • Profit: means the gross receipts collected from one or more bingo occasions, less reasonable sums necessarily and actually expended for bingo supplies and equipment, prizes, utilities, license fees and taxes. See Wisconsin Statutes 563.03
  • Progressive jackpot bingo: means a series of bingo games in which the prize is carried over to the succeeding game if no player wins a game within a specified number of calls. See Wisconsin Statutes 563.03
  • Proper and legitimate expenditure: means an expenditure made by an organization for any of the following:
  •       (a)    Any purpose for which the organization is organized. See Wisconsin Statutes 563.03
  • Public law: A public bill or joint resolution that has passed both chambers and been enacted into law. Public laws have general applicability nationwide.
  • public record: means information that is inscribed on a tangible medium or that is stored in an electronic or other medium and is retrievable in perceivable form. See Wisconsin Statutes 551.102
  • Raffle: means a game of chance for which tickets or calendars are sold and one or more drawings for prizes are held, but does not include a savings promotion program under…. See Wisconsin Statutes 563.03
  • Regular bingo card: means a nondisposable card issued to a person upon payment of the admission fee which affords a person the opportunity to participate in all regular games played at a bingo occasion. See Wisconsin Statutes 563.03
  • Regular bingo game: means a bingo game in which a person, upon payment of an admission, is issued a regular bingo card and may purchase or rent extra regular cards. See Wisconsin Statutes 563.03
  • Reporter: Makes a record of court proceedings and prepares a transcript, and also publishes the court's opinions or decisions (in the courts of appeals).
  • Sale: includes every contract of sale, contract to sell, or disposition of a security or interest in a security for value, and "offer to sell" includes every attempt or offer to dispose of, or solicitation of an offer to purchase, a security or interest in a security for value.   • sale: means a transfer for a consideration of title or of the right to use. See Wisconsin Statutes 459.01
  • Securities and Exchange Commission: means the United States Securities and Exchange Commission. See Wisconsin Statutes 551.102
  • Security: means a note; stock; treasury stock; security future; bond; debenture; evidence of indebtedness; limited partnership interest; life settlement investment or similar agreement; certificate of interest or participation in a profit-sharing agreement; collateral trust certificate; preorganization certificate or subscription; transferable share; investment contract; voting trust certificate; certificate of deposit for a security; fractional undivided interest in oil, gas, or other mineral rights; put, call, straddle, option, or privilege on a security, certificate of deposit, or group or index of securities, including an interest therein or based on the value thereof; put, call, straddle, option, or privilege entered into on a national securities exchange relating to foreign currency; or, in general, an interest or instrument commonly known as a "security"; or a certificate of interest or participation in, temporary or interim certificate for, receipt for, guarantee of, or warrant or right to subscribe to or purchase, any of the foregoing.   • Self-regulatory organization: means a national securities exchange registered under the Securities Exchange Act of 1934, a national securities association of broker-dealers registered under the Securities Exchange Act of 1934, a clearing agency registered under the Securities Exchange Act of 1934, or the Municipal Securities Rulemaking Board established under the Securities Exchange Act of 1934.   • Senior citizen community center: means a public place in which recreational or social activities are made available primarily to individuals who are 55 years of age or older. See Wisconsin Statutes 563.03
  • Special bingo card: means a disposable, specially marked bingo card which affords a person the opportunity to participate in a special bingo game to be played at a bingo occasion. See Wisconsin Statutes 563.03
  • Special bingo game: means any bingo game which is not a regular bingo game and which is played with special bingo cards. See Wisconsin Statutes 563.03
  • State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Wisconsin Statutes 551.102
  • Testify: Answer questions in court.
  • Ticket: means an instrument that entitles the purchaser to one entry in a raffle other than a calendar raffle. See Wisconsin Statutes 563.03
  • Trainee permit: means a temporary permit issued while the applicant is in training to become a licensed hearing instrument specialist. See Wisconsin Statutes 459.01
  • Uphold: The decision of an appellate court not to reverse a lower court decision.
  • User fees: Fees charged to users of goods or services provided by the government. In levying or authorizing these fees, the legislature determines whether the revenue should go into the treasury or should be available to the agency providing the goods or services.
  • Verdict: The decision of a petit jury or a judge.
