Terms Used In 17 Guam Code Ann. § 29103

  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
The affairs of the Corporation shall be under the general management and control of the RCUOG Board of Directors.

(a) Composition of the Board of Directors. The Board of
Directors shall consist of up to ten (10) members, as follows:

Ex-officio Chief Executive Officer – University of Guam
President;

Ex-officio Member – Senior Vice President of Academic and
Student Affairs;

Ex-officio Member – Vice President of Administration and
Finance;

UOG President appointees of up to four (4) members (minimum of two (2) members representing the community at large);

UOG Research Council appointee of one (1) member; UOG Faculty Senate appointee of one (1) member;
UOG Board of Regents appointees of two (2) UOG Board of
Regents members; and

UOG Endowment Foundation Board of Directors appointee of one
(1) UOG Endowment Foundation Board of Director.

(b) All members of the Board of Directors shall serve without pay, but shall be entitled to reimbursement for necessary expenses

while attending meetings and while in the discharge of duties and responsibilities.

(c) The Chairperson of the Board of Directors shall be the President of the University of Guam. The Senior Vice President and Vice President for Administration and Finance shall serve as ex-officio members of the Board.
