Alabama Code 10A-2A-7.44. Pleading

In a derivative action, the complaint must state with particularity:

(a) the date and content of plaintiff‘s demand and the corporation‘s response by the corporation to the demand; or

Complaint: A written statement by the plaintiff stating the wrongs allegedly committed by the defendant.
Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
Plaintiff: The person who files the complaint in a civil lawsuit.
state: when applied to the different parts of the United States, includes the District of Columbia and the several territories of the United States. See Alabama Code 1-1-1

(b) why the demand should be excused as futile.
