The law of this state governs:
(1) The internal affairs of a limited liability company; and

- Liabilities: The aggregate of all debts and other legal obligations of a particular person or legal entity.
- State: when applied to the different parts of the United States, includes the District of Columbia and the territories; and the words "United States" may include the District of Columbia and territories. See Idaho Code 73-114
(2) The liability of a member as member and a manager as manager for the debts, obligations, or other liabilities of a limited liability company.
