Each foreign limited liability company authorized to transact business in this
Commonwealth shall continuously maintain in this Commonwealth:
(1) A registered office that may be the same as any of its places of business; and
(2) A registered agent, who may be:
(a) An individual who resides in this Commonwealth and whose business office is identical with the registered office;
(b) A domestic corporation or not-for-profit domestic corporation whose business office is identical with the registered office;
(c) A foreign corporation or foreign not-for-profit corporation authorized to transact business in this Commonwealth whose business office is identical with the registered office; or
(d) A domestic limited liability company or a foreign limited liability company authorized to transact business in this Commonwealth whose business address is identical with the registered office.
(3) The registered agent shall execute and deliver to the Secretary of State a document accepting the agency appointment, and the appointment of the agent shall not be effective until delivered to the Secretary of State.

Terms Used In Kentucky Statutes 275.415
- Company: may extend and be applied to any corporation, company, person, partnership, joint stock company, or association. See Kentucky Statutes 446.010
- Corporation: means a profit or nonprofit corporation formed under the laws of any state or a foreign country. See Kentucky Statutes 275.015
- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Domestic: when applied to a corporation, partnership, business trust, or limited liability company, means all those incorporated or formed by authority of this state. See Kentucky Statutes 446.010
- domestic limited liability company: means a limited liability company formed under this chapter and, except with respect to a nonprofit limited liability company, having one (1) or more members. See Kentucky Statutes 275.015
- Foreign: when applied to a corporation, partnership, limited partnership, business trust, statutory trust, or limited liability company, includes all those incorporated or formed by authority of any other state. See Kentucky Statutes 446.010
- Foreign limited liability company: means an organization that is: (a) An unincorporated association. See Kentucky Statutes 275.015
- State: means a state, territory, or possession of the United States, the District of Columbia, or the Commonwealth of Puerto Rico. See Kentucky Statutes 275.015
(1) A registered office that may be the same as any of its places of business; and
