Terms Used In Louisiana Revised Statutes 12:464

  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • Association: means an association organized under this Part. See Louisiana Revised Statutes 12:443
  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

Any similar corporation or cooperative association organized under previously existing statutes, by a majority vote of its directors or members, may be brought under the provisions of this Part.  It shall make out in duplicate a statement, signed and sworn to by a majority of its directors, to the effect that the corporation or cooperative association has, by a majority vote of its directors, decided to accept the benefits and be bound by the provisions of this Part.  Articles of association shall be filed as required in La. Rev. Stat. 12:448 except that they shall be signed by a majority of the members of the board of directors.  The filing fee shall be the same as for filing an amendment to articles of association.
