(a) If the corporate name of a foreign corporation does not satisfy the requirements of N.H. Rev. Stat. § 293-A:4.01, the foreign corporation to obtain or maintain a certificate of authority to transact business in this state:
(1) may add the word “corporation,” “incorporated,” or “limited,” or the abbreviation “corp.,” “inc.,” or “ltd.” to its corporate name for use in this state; or

  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • state: when applied to different parts of the United States, may extend to and include the District of Columbia and the several territories, so called; and the words "United States" shall include said district and territories. See New Hampshire Revised Statutes 21:4

(2) may use an available fictitious name to transact business in this state if its real name is unavailable and it delivers to the secretary of state for filing a copy of the resolution of its board of directors, certified by its secretary, adopting the fictitious name.(3) may use the ending “PBC” if it is part of its true name and the entity is incorporated for a general public benefit.
(b) If a foreign corporation authorized to transact business in this state changes its corporate name to one that does not satisfy the requirements of N.H. Rev. Stat. § 293-A:4.01, it may not transact business in this state under the changed name until it adopts a name satisfying the requirements of subsection (a) and obtains an amended certificate of authority under N.H. Rev. Stat. § 293-A:15.04.
