Unless the operating agreement provides otherwise, “member” means a person who has been admitted to a limited liability company as a member as provided in N.H. Rev. Stat. § 304-C:53 or, in the case of a foreign limited liability company, in accordance with the laws of the state or foreign country or other foreign jurisdiction under which the foreign limited liability company is organized. A member does not include:
I. A dissociated member.

Terms Used In New Hampshire Revised Statutes 304-C:14

  • Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
  • person: may extend and be applied to bodies corporate and politic as well as to individuals. See New Hampshire Revised Statutes 21:9
  • state: when applied to different parts of the United States, may extend to and include the District of Columbia and the several territories, so called; and the words "United States" shall include said district and territories. See New Hampshire Revised Statutes 21:4

II. A member that has transferred or otherwise disposed of all of the member’s membership rights.
III. A member that has transferred or otherwise disposed of all of the member’s membership rights except the member’s limited liability company interest.
