Terms Used In Oregon Statutes > Chapter 63 > Amendment of Articles of Organization and Operating Agreement

  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • Articles of organization: means the document described in ORS § 63. See Oregon Statutes 63.001
  • Board: means the Environmental Health Registration Board, established within the Health Licensing Office. See Oregon Statutes 700.010
  • Board: means the Construction Contractors Board. See Oregon Statutes 701.005
  • City: includes any incorporated village or town. See Oregon Statutes 174.100
  • Commercial developer: means a developer of property that is zoned for or intended for use compatible with a small commercial or large commercial structure. See Oregon Statutes 701.005
  • Contract: A legal written agreement that becomes binding when signed.
  • Contractor: means any of the following:

    (a) A person that, for compensation or with the intent to sell, arranges or undertakes or offers to undertake or submits a bid to construct, alter, repair, add to, subtract from, improve, inspect, move, wreck or demolish, for another, a building, highway, road, railroad, excavation or other structure, project, development or improvement attached to real estate, or to do any part thereof. See Oregon Statutes 701.005

  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • Developer: means a contractor that owns property or an interest in property and engages in the business of arranging for construction work or performing other activities associated with the improvement of real property, with the intent to sell the property. See Oregon Statutes 701.005
  • Environmental health specialist: means a person who by education, training and experience in the sanitary, biological and physical sciences is qualified to perform duties in environmental sanitation, including but not limited to scientific investigation and education and counseling in environmental sanitation. See Oregon Statutes 700.010
  • Environmental health specialist trainee: means a person who lacks the combination of training, education and experience required for a registered environmental health specialist, but who is engaged in meeting the requirements. See Oregon Statutes 700.010
  • Environmental sanitation: means the art and science of applying sanitary, biological and physical science principles and knowledge to improve and control the environment and factors therein for the protection of the health and welfare of the public. See Oregon Statutes 700.010
  • Evidence: Information presented in testimony or in documents that is used to persuade the fact finder (judge or jury) to decide the case for one side or the other.
  • General contractor: means a contractor whose business operations require the use of more than two unrelated building trades or crafts that the contractor supervises or performs in whole or part, whenever the sum of all contracts on any single property, including materials and labor, exceeds an amount established by rule by the board. See Oregon Statutes 701.005
  • Home inspector: means a person who, for a fee, inspects and provides written reports on the overall physical condition of a residential structure. See Oregon Statutes 701.005
  • Large commercial structure: means a structure that is not a residential structure or small commercial structure. See Oregon Statutes 701.005
  • local government: means all cities, counties and local service districts located in this state, and all administrative subdivisions of those cities, counties and local service districts. See Oregon Statutes 174.116
  • Manager: means a person, not necessarily a member, that the members of a manager-managed limited liability company designate to manage the limited liability company's business and affairs. See Oregon Statutes 63.001
  • Manager-managed limited liability company: means a limited liability company that is designated as a manager-managed limited liability company in the limited liability company's articles of organization or the articles of organization of which otherwise expressly provide that a manager will manage the limited liability company. See Oregon Statutes 63.001
  • Member: means a person with both an ownership interest in a limited liability company and all the rights and obligations of a member specified under this chapter. See Oregon Statutes 63.001
  • Mortgage: The written agreement pledging property to a creditor as collateral for a loan.
  • Officer: means any of the following persons:

    (a) A president, vice president, secretary, treasurer or director of a corporation. See Oregon Statutes 701.005

  • Operating agreement: means any valid agreement, written or oral, of the member or members as to the affairs of a limited liability company and the conduct of the limited liability company's business. See Oregon Statutes 63.001
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Personal property: All property that is not real property.
  • Quorum: The number of legislators that must be present to do business.
  • Real property: Land, and all immovable fixtures erected on, growing on, or affixed to the land.
  • Registration: means written authorization issued under ORS § 700. See Oregon Statutes 700.010
  • Residential contractor: means a licensed contractor that holds an endorsement as a:

    (a) Residential general contractor;

    (b) Residential specialty contractor;

    (c) Residential limited contractor;

    (d) Residential developer;

    (e) Residential locksmith services contractor;

    (f) Residential restoration contractor;

    (g) Home inspector services contractor;

    (h) Home services contractor; or

    (i) Home energy performance score contractor. See Oregon Statutes 701.005

  • Residential developer: means a developer of property that is zoned for or intended for use compatible with a residential or small commercial structure. See Oregon Statutes 701.005
  • Science courses relating to environmental sanitation: include courses in public or community health or in sanitary, biological or physical sciences. See Oregon Statutes 700.010
  • Specialty contractor: includes a person who performs work regulated under ORS § 446. See Oregon Statutes 701.005
  • State Treasury: includes those financial assets the lawful custody of which are vested in the State Treasurer and the office of the State Treasurer relating to the custody of those financial assets. See Oregon Statutes 174.100
  • Subpoena: A command to a witness to appear and give testimony.
  • Trainee registration: means written authorization issued under ORS § 700. See Oregon Statutes 700.010
  • United States: includes territories, outlying possessions and the District of Columbia. See Oregon Statutes 174.100
  • Waste water specialist: means a person who by education, training and experience in the sanitary, biological and physical sciences is qualified to perform duties in the field of waste water treatment, disposal and reuse where soil is used in the final stage of the treatment process. See Oregon Statutes 700.010
  • Waste water specialist trainee: means a person who lacks the combination of training, education and experience required for a registered waste water specialist, but who is engaged in the process of meeting the requirements. See Oregon Statutes 700.010
  • Worker leasing company: means a person licensed under ORS § 656. See Oregon Statutes 701.005
