A registered foreign limited liability partnership that converts to a domestic limited liability partnership or to a domestic entity whose formation requires the delivery of a record to the secretary of state for filing is deemed to have withdrawn its registration on the effective date of the conversion.

Terms Used In Rhode Island General Laws 7-12.1-1007
- Conversion: means a transaction authorized by § 7-12. See Rhode Island General Laws 7-12.1-1101
- Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
- State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Rhode Island General Laws 7-12.1-102
