(a)  Each limited liability partnership and each registered foreign limited liability partnership shall designate and maintain a registered agent in this state. The designation of a registered agent is an affirmation of fact by the partnership or foreign partnership that the agent has consented to serve.

  • Business: includes every trade, occupation, and profession. See Rhode Island General Laws 7-12.1-102
  • Foreign limited liability partnership: means a foreign partnership whose partners have limited liability for the debts, obligations, or other liabilities of the foreign partnership under a provision similar to § 7-12. See Rhode Island General Laws 7-12.1-102
  • Foreign partnership: means an unincorporated entity formed under the law of a jurisdiction other than this state which would be a partnership if formed under the law of this state. See Rhode Island General Laws 7-12.1-102
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Person: means an individual, business corporation, nonprofit corporation, partnership, limited partnership, limited liability company, general cooperative association, limited cooperative association, unincorporated nonprofit association, statutory trust, business trust, common-law business trust, estate, trust, association, joint venture, public corporation, government or governmental subdivision, agency, or instrumentality, or any other legal or commercial entity.   • Registered agent: means an agent of a limited liability partnership or foreign limited liability partnership which is authorized to receive service of any process, notice, or demand required or permitted by law to be served on the partnership. See Rhode Island General Laws 7-12.1-102
  • Registered foreign limited liability partnership: means a foreign limited liability partnership that is registered to do business in this state pursuant to a statement of registration filed with the secretary of state. See Rhode Island General Laws 7-12.1-102
  • State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Rhode Island General Laws 7-12.1-102

(b)  A registered agent for a limited liability partnership or registered foreign limited liability partnership must be an existing person and have a place of business in this state.

(c)  The only duties under this chapter of a registered agent that has complied with this chapter are:

(1)  To forward to the limited liability partnership or registered foreign limited liability partnership at the address most recently supplied to the agent by the partnership or foreign partnership any process, notice, or demand pertaining to the partnership or foreign partnership which is served on or received by the agent;

(2)  If the registered agent resigns, to provide the notice required by § 7-12.1-907(c) to the partnership or foreign partnership at the address most recently supplied to the agent by the partnership or foreign partnership; and

(3)  To keep current the information with respect to the agent in the statement of qualification or foreign registration statement.
