The secretary of state may commence a proceeding under RCW 23.95.610 to dissolve a domestic entity administratively if:

  • Interest: means :

  • Proceeding: means civil suit and criminal, administrative, and investigatory action. See Washington Code 23.95.105
  • Public organic record: means the record the filing of which by the secretary of state is required to form an entity and any amendment to or restatement of that record. See Washington Code 23.95.105
  • Registered agent: means an agent of an entity which is authorized to receive service of any process, notice, or demand required or permitted by law to be served on the entity. See Washington Code 23.95.105
  • State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Washington Code 23.95.105
  • (1) The entity does not pay any fee, interest, or penalty required to be paid to the secretary of state when due;
    (2) The entity does not deliver an annual report to the secretary of state not later than one hundred twenty days after it is due;
    (3) The entity does not have a registered agent in this state for thirty consecutive days; or
    (4) The entity’s period of duration stated in its public organic record expired.
