Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
(1) one or more domestic entities may merge with one or more domestic or foreign entities into a domestic or foreign surviving entity; and(2) two or more foreign entities may merge into a domestic entity.(b) Except as otherwise provided in this section, by complying with the provisions of Alaska Stat. § 10.55.201 – 10.55.206 applicable to foreign entities, a foreign entity may be a party to a merger under Alaska Stat. § 10.55.201 – 10.55.206 or may be the surviving entity in a merger if the merger is authorized by the law of the foreign entity’s jurisdiction of organization.(c) The provisions of Alaska Stat. § 10.55.201 – 10.55.206 do not apply to
(1) a merger or consolidation under
(A) AS 10.06.530 – 10.06.562 or 10.06.960 (Alaska Corporations Code); or(B) AS 10.50.500 – 10.50.565 (Alaska Revised Limited Liability Company Act); or(2) a merger under
(A) AS 10.20.216 – 10.20.280 (Alaska Nonprofit Corporation Act); or(B) AS 32.06.905 – 32.06.907 (Uniform Partnership Act).
