Indiana Code 21-16-5-5. Amending articles of incorporation and bylaws

Sec. 5. (a) The corporation shall provide in its articles of incorporation that changes in its bylaws are subject to the approval of the governor.

Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

(b) The corporation shall amend its articles of incorporation and bylaws to conform to the requirements of this chapter.
