  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

“Articles of incorporation,” as used in this code, unless the context requires otherwise, includes not only the original articles of incorporation filed to create a corporation, including the charter, articles of association and any other instrument by whatever name known which a corporation has been or may be lawfully formed, but it also includes all other certificates, agreements of merger or consolidation, plans of reorganization or other instruments, however designated, that are filed pursuant to Kan. Stat. Ann. § 17-7910, and amendments thereto, or any other section of this code, the business entity transactions act, Kan. Stat. Ann. §§ 17-78-101 to 17-78-607, and amendments thereto, or the business entity standard treatment act, Kan. Stat. Ann. §§ 17-7901 to 17-7939, and amendments thereto, and that have the effect of amending or supplementing in some respect a corporation’s articles of incorporation.
