  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

If a corporation‘s charter or certificate of authority is forfeited under this chapter by the secretary of state and if the corporation requests the secretary to set aside the forfeiture under § 171.313 of this code, the corporation shall determine from the secretary whether the corporation’s name is available for use. If the name is not available, the corporation shall amend its charter or certificate to change its name.
