Terms Used In Texas Business Organizations Code 21.108
- Signed: includes any symbol executed or adopted by a person with present intention to authenticate a writing. See Texas Government Code 311.005
- Subscriber: means a person who agrees with or makes an offer to an entity to purchase by subscription an ownership interest in the entity. See Texas Business Organizations Code 1.002
An organizer or a subscriber for shares may act as a shareholder with respect to a shareholders’ agreement authorized by this subchapter if no shares have been issued when the agreement is signed.
